Different types of development agreements and procurement considerations;
Best value, developer’s profit, and overage;
Title constraints, vacant possession, and mitigations;
Structure of development deal (freehold/leasehold);
Long stop dates, extensions of time, LADs, collateral warranties, step in rights, and applicability of termination/buyback provisions;
Third party consents including statutory agreements;
Practical completion and defects remedy.
